LocalBiz OP Terms of Service

Effective Date: September 16, 2026

These Terms of Service (“Terms”) govern access to and use of LocalBiz OP, a software service operated by Eagle Family First LLC (“LocalBiz OPS,” “we,” “us,” or “our”).

By creating an account, purchasing a subscription, or otherwise using LocalBiz OPS, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use LocalBiz OPS.

1. Business and Commercial Use

LocalBiz OP is designed primarily for small businesses and commercial operations.

By creating a business account, the account owner represents that the account is being created primarily for business or commercial purposes.

Nothing in these Terms eliminates statutory or other legal rights that cannot lawfully be waived.

2. The LocalBiz OP Service

LocalBiz OP provides software tools designed to assist businesses with operations that may include:

• Customers and customer records

• Jobs, appointments, and routes

• Invoices and payment tracking

• Get Me Paid payment reminders

• Inventory and barcode scanning

• Price Scout

• Employees and team management

• Shift Change

• Expenses and documents

• Business records and reports

• AI-assisted business functions

• Other business-management tools

Features may be added, modified, improved, replaced, or discontinued as LocalBiz OP develops.

3. Account Responsibility

You are responsible for maintaining the confidentiality and security of your account credentials.

You are responsible for activity performed through your account by users you authorize.

Business owners are responsible for determining which employees, managers, or other users may access their LocalBiz OPS business account and what information those individuals are permitted to access.

You agree to provide accurate account information and use LocalBiz OPS only for lawful purposes.

4. Your Business Data

You retain ownership of the business information and content you provide to LocalBiz OP.

You grant Eagle Family First LLC the limited rights necessary to host, store, process, transmit, display, back up, and otherwise use that information as reasonably necessary to provide, maintain, secure, support, and improve LocalBiz OPS.

LocalBiz OP does not sell your personal or business information to advertisers or data brokers.

Our collection and handling of information is further described in our Privacy Policy.

5. Ownership of LocalBiz OP

LocalBiz OP, including its software, application design, user interface, branding, logos, documentation, Help Center materials, workflows, and other proprietary technology and content provided by Eagle Family First LLC, is owned by or licensed to Eagle Family First LLC and may be protected by applicable intellectual-property laws.

Except for the limited right to use LocalBiz OP under these Terms, no ownership rights in LocalBiz OP are transferred to users.

Users retain ownership of their own business information, photographs, documents, and other content they provide to LocalBiz OP.

6. Customer and Employee Information

LocalBiz OP allows businesses to enter and process information concerning customers, employees, suppliers, and other individuals.

The business is responsible for ensuring that it has the authority, permission, or consent required by applicable law to collect, store, process, communicate, or otherwise use that information.

The business is also responsible for determining which authorized users should have access to that information.

7. Information and Content Entered by Users

Users are responsible for information and content they enter, upload, photograph, scan, import, or otherwise provide through LocalBiz OP.

Users must not knowingly provide unlawful content, malicious software, stolen information, or information they do not have authority to use.

Unless a LocalBiz OP feature specifically requests such information, users should not store unnecessary highly sensitive information such as complete payment-card numbers, account passwords, Social Security numbers, or credentials belonging to another person.

8. AI Business Assistant

LocalBiz OP may provide artificial-intelligence-assisted features.

AI-generated responses, summaries, recommendations, classifications, extracted information, calculations, forecasts, or other results may contain errors, omissions, or incomplete information.

AI output is an assistance tool and does not replace the judgment of the business owner.

Users are responsible for reviewing important information before relying upon it or taking action.

LocalBiz OP does not guarantee the accuracy, completeness, or suitability of AI-generated information.

9. Price Scout

Price Scout is designed to help users identify and compare potential product and supplier pricing.

Prices, shipping charges, package quantities, availability, product descriptions, seller information, and other information may originate from third-party sources and may change without notice.

LocalBiz OP does not guarantee that a displayed price is the lowest price available anywhere.

Price Scout results represent purchasing opportunities identified from sources checked by the service at the applicable time.

Users are responsible for verifying product identity, quantity, condition, seller, availability, shipping charges, taxes where applicable, and final purchase price before making a purchase.

10. Third-Party Purchases and Sellers

Unless expressly stated otherwise, LocalBiz OPS and Eagle Family First LLC are not the seller, manufacturer, supplier, marketplace, shipping carrier, or payment processor for products discovered through Price Scout.

Displaying a product, seller, supplier, or purchasing opportunity does not constitute a guarantee of that product or third party.

Purchases made from third parties are transactions between the user and the applicable third party and may be governed by that third party's prices, policies, warranties, terms, and privacy practices.

LocalBiz OPS is not responsible for fulfillment, delivery, product quality, returns, refunds, seller warranties, or independent seller disputes.

11. Inventory and Barcode Information

Product information obtained through barcode databases, photographs, artificial intelligence, suppliers, or other external sources may contain incorrect, incomplete, or outdated information.

Users are responsible for reviewing product information before saving or relying upon it.

Inventory quantities, reorder recommendations, LOW levels, TARGET levels, and suggested purchasing quantities are business-management aids and should be verified by the user.

12. Get Me Paid and Business Communications

LocalBiz OPS may provide tools that assist businesses with invoices, outstanding balances, payment reminders, email, text messages, and other business communications.

Get Me Paid is an accounts-receivable assistance tool and is not a legal debt-collection service or law firm.

Businesses are responsible for ensuring that they have any authorization or consent required to contact recipients and for complying with applicable communication, privacy, consumer-protection, and debt-collection laws.

The business remains responsible for the appropriateness and legality of communications sent on its behalf.

13. Authorization for Automated Communications

When a business enables automatic email, text-message, invoice, or payment-reminder functionality, the business authorizes LocalBiz OPS and necessary service providers to send those communications on behalf of the business according to settings selected by an authorized user.

The business is responsible for ensuring that recipients may lawfully be contacted and that any required permission or consent has been obtained.

Businesses are responsible for maintaining accurate contact information and appropriately honoring requests to stop or opt out of communications where required.

LocalBiz OPS may suspend automated communications when reasonably necessary to comply with law, prevent abuse, protect recipients, or protect the service.

Enabling automated communications does not guarantee delivery. Communications may be delayed, filtered, blocked, rejected, or otherwise affected by carriers, email providers, devices, recipient settings, third-party providers, or incorrect contact information.

14. Invoices, Payments, and Financial Records

LocalBiz OPS may assist businesses with creating invoices, recording amounts paid, calculating amounts owed, creating receipts, recording expenses, and producing business reports.

Users are responsible for reviewing financial information for accuracy.

Unless expressly stated otherwise for a particular feature, LocalBiz OPS is not a bank, payment processor, bookkeeping firm, accounting firm, financial institution, or collection agency.

Independent payment services may have separate terms.

15. Taxes, Accounting, Financial, and Legal Matters

LocalBiz OPS may organize records or calculate estimates based on information and rules configured by users.

LocalBiz OPS does not provide legal, accounting, financial, or tax advice and does not prepare or file tax returns.

Tax estimates, summaries, and reports are provided for informational and recordkeeping purposes.

Users should consult an appropriately qualified professional when legal, accounting, financial, or tax advice is required.

16. Reports and Business Records

Reports produced by LocalBiz OPS depend on information provided by users and information available to the service.

Users are responsible for reviewing reports and maintaining records independently required for their business.

LocalBiz OPS does not guarantee that a report satisfies every accounting, tax, regulatory, licensing, employment, or record-retention requirement applicable to a particular business.

17. Data Backup and Export

LocalBiz OPS may provide tools for storing, organizing, downloading, or exporting business information.

Users should maintain independent copies of business records that are critical to their operations or that they are legally required to retain.

Although LocalBiz OPS uses reasonable measures designed to protect and maintain information, no electronic system can guarantee against every instance of accidental deletion, corruption, hardware failure, software failure, unauthorized activity, or other data loss.

LocalBiz OPS should not be used as the sole repository for records that a business cannot afford to lose.

18. Third-Party Services and Information

LocalBiz OPS may rely upon independent third-party services for functionality such as cloud infrastructure, databases, authentication, artificial intelligence, email, text messaging, subscriptions, product identification, pricing information, and other services.

Third-party services may experience outages, delays, errors, security incidents, policy changes, discontinued services, or inaccurate information outside the reasonable control of LocalBiz OPS.

LocalBiz OPS does not guarantee the accuracy or continued availability of independent third-party services or information.

Where practical, LocalBiz OPS will take reasonable steps to restore or provide affected functionality following an interruption.

Third-party services may also be governed by their own terms and privacy policies.

19. Subscription and Billing

LocalBiz OPS may be offered through a recurring paid subscription.

The applicable price and billing period will be displayed before purchase.

When purchased through Google Play, Apple's App Store, or another marketplace, billing and payment processing may be handled by that marketplace and subject to its applicable terms.

Unless otherwise stated by the applicable marketplace, subscriptions continue until canceled.

20. Cancellation

Users may cancel their subscription through the marketplace or subscription-management system through which the subscription was purchased.

Cancellation generally prevents future renewal and does not immediately terminate access for a period that has already been paid for, subject to the applicable marketplace's rules.

Deleting a LocalBiz OPS account and canceling a paid subscription are separate actions.

Users remain responsible for canceling marketplace subscriptions when appropriate.

21. Account and Data Deletion

Account owners may request deletion of their LocalBiz OPS account and associated business data through the methods provided by LocalBiz OPS.

Users should download business records they wish to retain before deleting their account.

Certain information may be retained where reasonably necessary for legal, regulatory, accounting, fraud-prevention, security, dispute-resolution, or other legitimate purposes permitted by applicable law.

22. Suspension and Termination

LocalBiz OPS may suspend or terminate an account when reasonably necessary because of a material violation of these Terms, unlawful activity, fraud, abuse, security threats, nonpayment, misuse of the service, or conduct threatening LocalBiz OPS, its users, providers, or third parties.

Where reasonably practical and legally appropriate, LocalBiz OPS may provide notice and an opportunity to correct a violation before permanently terminating an account.

Upon termination, the user's right to access LocalBiz OPS may end.

Where reasonably practical and legally permitted, account owners may be given an opportunity to export available business records before permanent deletion.

That opportunity may not be available where immediate action is necessary for security, fraud prevention, legal compliance, or protection of others.

Termination of a LocalBiz OPS account does not automatically cancel a subscription administered by an independent app marketplace.

23. Acceptable Use

Users may not use LocalBiz OPS to:

• Engage in unlawful or fraudulent activity

• Gain unauthorized access to accounts, systems, or information

• Distribute malware or harmful software

• Impersonate another person or business

• Intentionally interfere with the service

• Send unlawful, fraudulent, abusive, deceptive, or prohibited communications

• Violate another person's privacy or intellectual-property rights

• Circumvent security or access controls

• Use the service in a manner intended to harm LocalBiz OPS, another user, or a third party

LocalBiz OPS may restrict or suspend activity when reasonably necessary to protect the service, users, service providers, or third parties.

24. Security Incidents

LocalBiz OPS uses reasonable safeguards designed to protect information and the operation of the service.

If LocalBiz OPS becomes aware of a security incident affecting information for which notification is required under applicable law, Eagle Family First LLC will take reasonable steps to investigate, mitigate, and provide notifications required by applicable law.

Nothing in these Terms is intended to exclude responsibility that cannot lawfully be excluded or limited.

25. Service Availability

We work to keep LocalBiz OPS available and reliable, but software and internet-based services may experience maintenance, errors, interruptions, outages, network failures, or third-party service failures.

We do not guarantee uninterrupted or error-free availability.

26. No Warranty

To the maximum extent permitted by applicable law, LocalBiz OPS is provided on an “AS IS” and “AS AVAILABLE” basis.

Eagle Family First LLC disclaims warranties not expressly provided in these Terms, including implied warranties to the extent those warranties may legally be disclaimed.

Nothing in these Terms excludes warranties or legal rights that cannot lawfully be excluded.

27. Limitation of Liability

To the maximum extent permitted by applicable law, Eagle Family First LLC and LocalBiz OPS will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost business opportunities, or business interruption, arising from or relating to use of LocalBiz OPS.

To the maximum extent permitted by applicable law, the aggregate liability of Eagle Family First LLC arising from or relating to LocalBiz OPS will not exceed the greater of:

(a) the amount the affected customer paid for LocalBiz OPS during the 12 months immediately preceding the event giving rise to the claim; or

(b) $100.

These limitations apply only to the extent permitted by applicable law.

Nothing in these Terms excludes or limits liability where applicable law does not permit that liability to be excluded or limited.

28. User Responsibility for Business Decisions

LocalBiz OPS provides software tools and information intended to assist business owners.

The business owner remains responsible for decisions concerning purchasing, pricing, inventory, employees, customers, communications, finances, taxes, legal compliance, and other business operations.

29. Indemnification

To the extent permitted by applicable law, a business using LocalBiz OPS agrees to defend, indemnify, and hold harmless Eagle Family First LLC and its officers, employees, and agents from third-party claims, damages, liabilities, losses, and reasonable costs arising from:

• Information or content provided by the business

• The business's unlawful use of LocalBiz OPS

• Communications sent by or on behalf of the business

• The business's violation of applicable law

• The business's violation of another person's privacy, intellectual-property, or other legal rights

• The business's material violation of these Terms

This provision does not require a user to indemnify Eagle Family First LLC for claims resulting solely from Eagle Family First LLC's own fraud, willful misconduct, or other conduct for which indemnification cannot lawfully be required.

30. Reviews and Feedback

LocalBiz OPS welcomes honest feedback, recommendations, criticism, and reviews.

Nothing in these Terms prohibits or penalizes users for providing an honest review or expressing an opinion about LocalBiz OPS.

Users may voluntarily submit suggestions for improving LocalBiz OPS.

Unless otherwise agreed in writing, submitting a suggestion does not require Eagle Family First LLC to implement the suggestion or compensate the person submitting it.

This is worth retaining: federal law restricts businesses from using standardized consumer contract provisions that prohibit or penalize honest reviews or require customers to surrender intellectual-property rights in their reviews.

31. Changes to LocalBiz OPS

LocalBiz OPS may add, modify, improve, replace, or discontinue features as the service develops.

We may make changes necessary for security, legal compliance, third-party service changes, technical requirements, or continued operation of the service.

32. Changes to These Terms

We may update these Terms as LocalBiz OPS develops or as legal, security, technical, or operational requirements change.

When these Terms are updated, the effective date will be revised.

Where required by applicable law, users will receive appropriate notice of material changes.

Continued use will constitute acceptance only to the extent permitted by applicable law and applicable notice/consent requirements.

33. Governing Law and Disputes

These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Before filing a lawsuit concerning LocalBiz OPS, the parties are encouraged to make a good-faith effort to resolve the dispute by contacting the other party and describing the issue and requested resolution.

Notices to LocalBiz OPS concerning a dispute may be sent to:

Nothing in this section prevents either party from seeking emergency or injunctive relief where appropriate or exercising rights that cannot legally be waived.

34. Electronic Communications and Acceptance

Users agree that LocalBiz OPS may provide agreements, notices, disclosures, and other communications electronically where permitted by law.

Acceptance of these Terms through an electronic checkbox, button, account-creation process, or other electronic method may constitute electronic acceptance.

Users should retain a copy of these Terms for their records.

Iowa law provides that records, signatures, and contracts aren't denied legal effect solely because they are electronic, and Iowa also has rules concerning retaining electronic records.

35. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the extent legally permissible or severed where appropriate.

The remaining provisions will continue in effect.

36. No Waiver

Failure by Eagle Family First LLC to enforce a provision of these Terms on one occasion does not necessarily waive its right to enforce that provision later.

37. Entire Agreement

These Terms, together with the LocalBiz OPS Privacy Policy and any additional terms expressly presented for a particular service, constitute the agreement concerning use of LocalBiz OPS.
